Business Terms

Here you will find our business terms, which apply for our counseling, unless otherwise agreed.

In particular you should note the terms concerning:

  • Confidentiality
  • Fee
  • Invoicing
  • Client funds
  • Limitation of liability

Unless otherwise agreed, these business terms regulate all legal services provided by CPH Law Firm to the client. The Business Terms apply from January 1, 2010.

License and membership of the Danish Bar & Law Society
All attorneys in CPH Law Firm are licensed by the Danish Ministry of Justice and are members of the Danish Bar & Law Society.

The assignment
CPH Law Firm agrees with the client on an ongoing basis on the scope of the legal assistance.

In consumer relationships CPH Law Firm makes a written description of the assignment before the work on the assignment is commenced.

All legal assistance is provided in accordance with the Code of Conduct of the Council of the Danish Bar and Law Society as well as the provisions on attorneys in the Danish Administration of Justice Act.

Confidentiality
CPH Law Firm treats all information about the client in confidence.

However, CPH Law Firm is subject to the Danish Money Laundering Act, which implies that CPH Law Firm in certain situations must obtain identity information on the client and that CPH Law Firm in certain situations is obliged to notify the Public Prosecutor for Serious Economic Crime or the Danish Bar and Law Society in case CPH Law Firm suspects that a transaction has relation to money laundering or financing of terrorism.

Fee
CPH Law Firm bases its fee on the scope of the assignment, the importance to the client of the assignment, the responsibility associated with the assignment, and the result achieved. Disbursements and charges will be added to the fee paid by the client.

Upon request CPH Law Firm will inform the client about the estimated size of the fee if the nature of the assignment allows such estimation. If the fee cannot be estimated, the client will be informed about the applicable hourly wage.

In consumer relations CPH Law Firm provides the client with information on the size of the fee before commencing the work.

Invoicing
Normally, the services of CPH Law Firm are invoiced monthly in arrears and in general CPH Law Firm requires prepayment of disbursements and fee for new clients.

Payment is due no later than 7 days from the date of invoicing. In case of delayed payment interests are charged in accordance with the provisions of the Danish Act on Interests.

Client funds
All client funds are managed in accordance with the rules of the Danish Bar and Law Society and are deposited on client accounts.

Accrued interests shall be credited to the client in accordance with the rules of the Danish Bar and Law Society.

Documents
CPH Law Firm store documents related to cases for at least 5 years from the completion of an assignment. Upon the completion of an assignment CPH Law Firm returns original documents.

Liability, limitations of liability and insurance
CPH Law Firm is liable for legal services in accordance with the general rules of Danish law.

However, the liability of CPH Law Firm, its partners and employees is maximized to an amount of DKK 2.5 million per assignment. Further, the liability for several assignments for a single client is maximized to an aggregated amount of DKK 3 million per calendar year.

CPH Law Firm, its partners and employees are not liable for consequential loss or indirect loss, including loss of profits, loss of data, goodwill etc.

CPH Law Firm has taken out liability insurance with Codan Forsikring A/S, Gl. Kongevej 60, 1790 Copenhagen V. The coverage is DKK 8 million. The insurance covers all our business as attorneys no matter where it is conducted. Codan A/S has also provided a guarantee of DKK 5 million in accordance with the rules of the Danish Bar & Law Society.

Choice of law and venue
The services of CPH Law Firm and these Terms of Business are governed by Danish law, excluding however, any choice of law provisions appointing foreign law. Danish courts have exclusive jurisdiction to settle any dispute between CPH Law Firm and the client.
